1. The Partnership Spirit

The Ägile Ässets Ambassador Program is designed as a collaboration between OVERW8 Agentur & Medien K. Reinbach (“OVERW8,” “we,” or “us”) and you as a valued Ambassador.

Together, we’re building a community of agile marketers who understand the power of quality brand building on social media.

1.1 Core Values of Our Partnership

Authenticity: We believe Ambassadors who genuinely use and understand our products create the most meaningful connections.
Quality: We prioritize valuable partnerships over quantity, focusing on creating true win-win relationships.
Respect: We’re committed to treating you with fairness and transparency, and expect the same in return.
Growth: This program is designed to provide growth opportunities for both parties.

1.2 The Ambassador Journey

When you join as an Ambassador, you become part of a select community.

Your journey includes:

Receiving complimentary access to The Cosmopolitan/Village for 6 months to experience our platform firsthand
Earning commissions through a multi-layered reward structure
Joining a community of like-minded agile marketers
Gaining additional benefits as you achieve certain milestones

2. Getting Started

2.1 Eligibility & Application

To become an Ambassador, you must:

Complete our application process
Receive official approval from OVERW8 (via email)
Represent businesses or individuals who align with our brand values
Operate in compliance with all applicable laws

Please note: OVERW8 reserves the right to approve or decline any application for any reason at our discretion.

2.2 Account Activation

Upon approval:

You’ll receive confirmation via email
We’ll provide access to your Ambassador dashboard
You’ll gain access to your complimentary Cosmopolitan/Village account
Your unique referral identifiers will be activated

3. Commission Structure & Rewards

3.1 Multi-Layered Reward System

Our Ambassador Program features a thoughtfully designed reward structure with three layers:

New User Acquisition: Commission for each new customer you bring to Ägile Ässets
Quality Lead Bonus: Additional rewards for customers who maintain their subscription during their first 6 months
Additional Revenue Share: Ongoing commission from any add-on purchases your referred customers make

The Commission Schedule, which is attached as an appendix to these terms, provides specific commission rates and reward details.

3.2 Platform Access Benefits

Initial Access: All approved Ambassadors receive complimentary access to The Cosmopolitan/Village for 6 months
Extended Access: After referring your first 5 new clients to Ägile Ässets, you’ll receive extended access for 1 year plus additional tokens.

3.3 Commission Payments

Commissions are calculated at the end of each calendar month
Payments are processed within 30 days of the end of each quarter
Minimum payout thresholds may apply (specified in the Commission Schedule)
All payments are made in Euros (€)

For full transparency, you have always access to your commission status and conversions in the affiliate app we share with you.

3.4 Additional Benefits

Beyond the commission structure, Ambassadors can enjoy:

Recognition: Joining a community of professional social media marketers
Insider Access: Early information about upcoming features and improvements
Professional Development: Opportunities to connect with other experts in the field
Special Incentives: Occasional special programs, challenges, or bonuses as announced

4. Your Responsibilities as an Ambassador

4.1 Authentic Representation

As an Ambassador, we trust you to:

Present Ägile Ässets accurately and honestly
Share your genuine experience with our platform
Avoid making claims that exceed our official product descriptions
Clearly identify yourself as an Ambassador when promoting our products

4.2 Brand Protection

Our brand identity matters deeply to us. Please:

Use our brand assets only as provided in our Ambassador resources
Follow our brand guidelines when mentioning Ägile Ässets
Request approval before creating custom marketing materials featuring our brand
Never modify our logos, trademarks, or other proprietary elements

4.3 Ethical Marketing Practices

We expect all marketing activities to be:

Compliant with all applicable laws and regulations
Free from spam, misleading claims, or high-pressure tactics
Respectful of privacy and data protection standards
Aligned with the quality expectations of our brand

5. Program Limitations

5.1 Industry & Location Restrictions

As a Germany-based company, we must adhere to certain restrictions:

We cannot conduct business with entities or individuals located in countries under Germany’s current embargo list
We reserve the right to refuse partnerships with industries that could harm our brand reputation
Promoting Ägile Ässets to industries engaged in illegal or harmful activities is strictly prohibited

5.2 Non-Exclusive Relationship

This partnership is non-exclusive, meaning:

You may promote other non-competing products
We may work with other Ambassadors in your region or industry
Neither party is obligated to an exclusive business relationship

6. Term & Termination

6.1 Program Duration

This agreement begins on the date of your approval and continues until terminated
Either party may terminate the relationship with 30 days’ written notice
There is no minimum commitment period

6.2 Termination Scenarios

We value our relationship with you, but certain situations may require immediate action:

Your Initiated Termination: You may leave the program at any time with written notice
Mutual Agreement: We may agree together that the partnership has run its course
For Cause: We reserve the right to terminate immediately for breaches of these terms, including:
- Misrepresentation of our products
- Violation of our brand guidelines
- Promotion to embargoed countries or prohibited industries
- Any activity that could damage our reputation or brand

6.3 Post-Termination

After termination:

You’ll receive commissions for qualified referrals made prior to termination
You must cease all promotion of Ägile Ässets as an Ambassador
You must remove any Ambassador-specific references from your materials
Your complimentary platform access may be adjusted to standard terms

7. Compliance & Monitoring

7.1 Regular Reviews

To maintain program integrity, we conduct:

Periodic reviews of Ambassador activities
Quality checks on referred customers
Monitoring for compliance with these terms

7.2 Consequences of Non-Compliance

If issues are identified:

We’ll notify you of any concerns
Minor issues will include guidance for correction
Serious violations may result in immediate termination and forfeiture of unpaid commissions
In extreme cases, we reserve the right to seek damages for harm to our brand

8. Updates to Terms

8.1 Modification Process

We may update these terms from time to time:

Changes will be communicated via email at least 14 days before taking effect
Material changes will be highlighted for your convenience
Your continued participation after the effective date constitutes acceptance

8.2 Your Options

If you don’t agree with updated terms:

You may terminate your participation before the new terms take effect
You’ll still receive commissions earned under the previous terms

9. Technical Implementation & Data Processing

9.1 Affiliate Tracking System

We currently use Tapfiliate as our affiliate tracking and management platform
OVERW8 reserves the right to change our tracking system at any time at our sole discretion
In case of a system change, we will notify Ambassadors and ensure a smooth transition of tracking data
Your Ambassador data, including contact information, referrals, and commissions, is stored and processed through our chosen tracking system
The respective privacy policy and data processing terms of our tracking provider apply to information stored in their system
By joining our Ambassador Program, you consent to the storage and processing of your data within our chosen tracking system

9.2 Data Collection & Use

Tracking relies on cookies and similar technologies to attribute referrals correctly
We collect only the data necessary to operate the Ambassador Program effectively
Your data will not be used for purposes outside the scope of this Ambassador relationship without your consent

10.2 Response Expectations

We strive to respond to all inquiries within 1 business day
Complex issues may require additional time for resolution

11. Final Provisions

11.1 Governing Law

These terms are governed by the laws of Germany
Any disputes will be resolved in the courts of Munich, Germany

11.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions remain in effect
Unenforceable provisions will be modified to the minimum extent necessary to be enforceable

11.3 Entire Agreement

These terms, along with the Commission Schedule and any additional documents referenced, constitute the entire agreement between us
No oral modifications or understandings will be binding
